Terms of Service
These Terms govern use of MASHDROP, an online marketplace that connects advertisers with independent publishers offering sponsored placements on digital properties they control.
Last updated: October 28, 2026
1. Marketplace role
MASHDROP facilitates discovery, negotiation, agreement formation, payment evidence, fulfillment verification, and marketplace reputation. Publishers remain independent and retain editorial control over their properties. Advertisers control what they seek to promote and whether to enter a commercial agreement.
2. Accounts and eligibility
Participants must provide accurate information, protect account credentials, and have authority to act for the organization they represent. Publishers may offer only placements on properties they legitimately control. MASHDROP may restrict or suspend access when needed to protect the marketplace, comply with law, or address fraud, abuse, or material policy violations.
3. Offers and agreements
Commercial commitments are made by participants, not by automated matching. An accepted offer creates an agreement describing the placement, price, duration, destination, disclosure requirements, and other accepted terms. Participants are responsible for reviewing those terms before acceptance.
4. Payments and MASHDROP fee
For the current Direct Pay model, the Advertiser makes one payment through the Publisher's connected payment account. That payment equals the full agreed Publisher placement price plus MASHDROP's additional 10% marketplace/service fee. Stripe routes the disclosed MASHDROP fee to MASHDROP as an application fee. The Publisher placement price remains unchanged.
Collection alone does not establish fee retention. The fee is ordinarily earned and retained after a valid Agreement is fully funded; if the payment pair never fully funds or the Agreement is invalid, retention is not established. Remedies for the two payment obligations are evaluated separately under our Refund & Cancellation Policy.
For new single-charge Direct Pay transactions, there is no separate MASHDROP card charge and therefore no partial state in which one card charge succeeds while the other fails. MASHDROP reconciles the single provider transaction and does not retry an ambiguous payment until authoritative provider evidence proves it safe. If customer action is required, the commercial hold remains until an authorized Advertiser Organization member completes it. Historical two-charge transactions retain their original recovery semantics. See our Refund & Cancellation Policy.
MASHDROP does not hold or escrow Publisher proceeds. Payment processing is provided by qualified third-party payment providers under their own terms and availability requirements.
5. Publisher fulfillment and advertiser responsibilities
Publishers are responsible for delivering accepted placements in accordance with the agreement, applicable disclosure rules, and marketplace policies. Advertisers are responsible for the accuracy, legality, and suitability of the material and destinations they ask Publishers to promote.
6. Verification and reputation
MASHDROP may verify property control, placement fulfillment, and other marketplace evidence. Verification and reputation are distinct and cannot be purchased. Verification does not constitute an endorsement of a participant, product, or service.
7. Restricted activity
Participants may not use MASHDROP for unlawful, deceptive, infringing, unsafe, or prohibited advertising. MASHDROP may reject or review regulated or higher-risk categories and may require additional information before allowing a transaction.
8. Cancellations, refunds, and disputes
Publisher-payment remedies and MASHDROP service-fee remedies are separate. Our current policy is described in the Refund & Cancellation Policy.
If an Advertiser and Publisher disagree about a remedy, MASHDROP automatically places or retains a commercial hold, preserves append-only evidence, and blocks further downstream progression while unresolved. Resolution requires authoritative participant/provider evidence satisfying deterministic policy. A dispute alone does not trigger an automatic refund. No human MASHDROP payments operator or discretionary internal adjudication is required for the normal launch path.
9. Availability and changes
MASHDROP may change, suspend, or discontinue features and may update these Terms as the marketplace develops. Material changes will be reflected by an updated date or other appropriate notice.
